Vendor & Exhibitor Terms and Conditions — Compliance & Removal
Applies to all Events operated by the Promoter, including Aloha Card Show and Hawaii Pop Con.
COMPLIANCE WITH LAWS, RULES, AND AUTHORIZED INSTRUCTIONS
Participant and all individuals associated with Participant, including owners, employees, contractors, helpers, representatives, and guests, must at all times conduct themselves in accordance with:
- All applicable federal, state, county, and local laws and regulations;
- Venue rules, regulations, policies, and requirements;
- Fire codes and fire marshal requirements;
- Health and safety requirements;
- Building and occupancy requirements;
- Event rules and policies;
- These Vendor & Exhibitor Terms and Conditions; and
- Lawful and reasonable instructions issued by authorized Event or venue personnel.
Participant must promptly comply with lawful and reasonable instructions given by:
- The Promoter;
- Event management;
- Authorized Event staff;
- Venue management;
- Venue staff;
- Event security;
- Venue security;
- Law enforcement;
- Fire department or fire marshal personnel;
- Emergency personnel; and
- Other governmental or regulatory authorities acting within their authority.
Instructions may include, without limitation, directions concerning:
- Safety;
- Crowd control;
- Emergency procedures;
- Booth placement;
- Merchandise;
- Displays;
- Signage;
- Noise;
- Electrical equipment;
- Fire safety;
- Aisle clearance;
- Load-in;
- Load-out;
- Parking;
- Credentials;
- Access to restricted areas;
- Opening and closing procedures; and
- General Event operations.
Participant may not intentionally ignore, obstruct, interfere with, threaten, intimidate, harass, or refuse to comply with lawful and reasonable instructions from authorized personnel.
If Participant disagrees with an instruction from Event staff or security, Participant should raise the issue with Event management in a professional manner. Participant may not create a disruption, interfere with Event operations, or disregard the instruction while the issue is being reviewed, except where compliance would be unlawful or create an immediate safety risk.
SECURITY AND EVENT MANAGEMENT AUTHORITY
Participant acknowledges that Event management and authorized security personnel are responsible for maintaining a safe and orderly Event.
Participant must cooperate with reasonable security and safety procedures, including:
- Credential checks;
- Restricted-area controls;
- Emergency evacuations;
- Crowd-control procedures;
- Bag or property procedures where lawful and applicable;
- Venue access restrictions;
- Closing procedures; and
- Safety-related instructions.
Participant may not enter or remain in restricted or closed areas without authorization.
Participant may not interfere with security personnel carrying out their authorized duties.
RIGHT TO REQUIRE CORRECTIVE ACTION
When Event management reasonably determines that Participant's merchandise, booth, display, equipment, signage, activity, conduct, employee, representative, or guest violates Event rules or creates a safety or operational problem, Event management may require Participant to correct the issue.
Corrective action may include requiring Participant to:
- Remove merchandise;
- Remove signage;
- Remove promotional materials;
- Modify a display;
- Move equipment;
- Reduce noise;
- Clear an aisle;
- Stop a prohibited activity;
- Remove an unauthorized individual;
- Correct unsafe conditions; or
- Otherwise bring the booth or Participant into compliance.
Participant must promptly comply with reasonable corrective instructions.
Failure or refusal to comply may result in removal from the Event.
REMOVAL FROM THE EVENT
Promoter's Right to Remove
To the fullest extent permitted by applicable law, the Promoter reserves the right to revoke credentials and remove a Participant, its employees, representatives, helpers, guests, merchandise, or displays from the Event for a material or repeated violation of these Terms, Event rules, venue requirements, applicable law, or lawful and reasonable instructions of authorized personnel.
Grounds for removal may include, without limitation:
- Refusing to follow Event management instructions;
- Refusing to follow security instructions;
- Refusing to follow venue instructions;
- Violating applicable law;
- Creating an unsafe condition;
- Harassment;
- Threats;
- Violence;
- Theft;
- Fraud;
- Counterfeit merchandise;
- Unauthorized merchandise;
- Material misrepresentation of merchandise;
- Unauthorized transfer or resale of booth space;
- Unauthorized booth sharing;
- Promoting another show;
- Recruiting vendors or attendees for another show;
- Intentionally disrupting Event operations;
- Entering restricted areas;
- Interfering with security;
- Serious or repeated violations of Event policies; or
- Refusing to correct a violation after being instructed to do so.
Serious violations may result in immediate removal without a prior warning.
Removal Means No Refund
IF PARTICIPANT IS REMOVED, EJECTED, EXPELLED, OR HAS ITS PARTICIPATION OR CREDENTIALS REVOKED BECAUSE OF PARTICIPANT'S VIOLATION OF THESE TERMS, EVENT RULES, VENUE RULES, APPLICABLE LAW, OR LAWFUL AND REASONABLE INSTRUCTIONS, PARTICIPANT WILL NOT RECEIVE A REFUND, CREDIT, ROLLOVER, REIMBURSEMENT, OR COMPENSATION FOR UNUSED EVENT TIME, TO THE FULLEST EXTENT PERMITTED BY LAW.
Removal does not eliminate Participant's responsibility for amounts already due to the Promoter.
Participant is also responsible for its own costs resulting from removal, including travel, lodging, transportation, shipping, labor, and other expenses.
REMOVAL FROM THE EVENT FOR A PARTICIPANT VIOLATION IS A FORFEITURE OF THE REMAINING PARTICIPATION PRIVILEGE — NOT A CANCELLATION ENTITLING PARTICIPANT TO A REFUND.
Removal of Individual Staff Members
The Promoter may remove an individual employee, contractor, helper, representative, or guest associated with Participant without necessarily removing the entire Participant.
If Event management directs Participant to remove a particular individual from its booth or from the Event, Participant must promptly comply.
If Participant refuses to comply, the Promoter may revoke Participant's entire booth or Event participation.
Participant is responsible for ensuring that anyone working under its registration understands and complies with Event rules.
Removal Does Not Require a Refund of Other Fees
If Participant is removed for a violation, Participant is not entitled to reimbursement of booth fees, table fees, sponsorship fees, registration fees, additional-table fees, electrical fees, equipment fees, credential fees, or other Event-related amounts already paid, except where otherwise required by applicable law.
Participant is not entitled to compensation for merchandise, travel, hotel, staffing, shipping, lost sales, lost profits, or other costs associated with Participant's removal.
Future Event Eligibility After Removal
Removal from an Event may be considered when reviewing Participant's eligibility for future events operated or promoted by the Promoter.
Depending on the nature and severity of the violation, the Promoter may:
- Issue a warning;
- Place conditions on future participation;
- Decline the Participant's next application;
- Decline applications for multiple future Events; or
- Decline future participation indefinitely, subject to applicable law.
Particularly serious conduct involving violence, threats, theft, fraud, counterfeit merchandise, intentional disruption, harassment, safety violations, or refusal to comply with authorized security or Event-management instructions may result in denial of future participation.
PARTICIPANT RESPONSIBILITY FOR ITS ENTIRE PARTY
Participant is responsible for ensuring that all individuals participating under its registration comply with these Terms.
The conduct of Participant's:
- Owners;
- Employees;
- Contractors;
- Helpers;
- Representatives;
- Guests; and
- Other individuals working from Participant's booth
may be attributed to Participant for purposes of Event enforcement.
Participant may not avoid responsibility for a violation by claiming that the conduct was performed by an employee, helper, family member, contractor, or other person working on Participant's behalf.
ACKNOWLEDGMENT
By participating in the Event, Participant specifically acknowledges and agrees:
- PARTICIPANT MUST FOLLOW APPLICABLE LAW, EVENT RULES, VENUE RULES, SAFETY REQUIREMENTS, AND LAWFUL AND REASONABLE INSTRUCTIONS FROM THE PROMOTER, EVENT MANAGEMENT, VENUE MANAGEMENT, SECURITY, LAW ENFORCEMENT, FIRE/EMERGENCY PERSONNEL, AND OTHER AUTHORIZED OFFICIALS.
- FAILURE OR REFUSAL TO COMPLY MAY RESULT IN REMOVAL FROM THE EVENT.
- IF PARTICIPANT IS REMOVED BECAUSE OF A VIOLATION, THERE WILL BE NO REFUND, CREDIT, ROLLOVER, OR REIMBURSEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
- REMOVAL MAY ALSO AFFECT PARTICIPANT'S ELIGIBILITY FOR FUTURE EVENTS.
